1. Platform Scope & Role

Compound.Work provides tools for estimating, takeoff, bid management, document hosting, and CRM workflows for the construction industry. The platform does not act as a contractor, broker, engineer, or fiduciary. Users are solely responsible for the accuracy of bids, estimates, and compliance with all applicable federal, state, and local laws.

2. User Accounts & Access Control

Users may register as General Contractors, Subcontractors, Vendors, or Viewers depending on their role within a company. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Compound.Work reserves the right to suspend or terminate accounts for misuse, violation of these terms, or at its sole discretion.

3. Document Hosting & Ownership

You retain ownership of all content you upload to the platform, including plans, specifications, and bid documents. By uploading content, you grant Compound.Work a limited, non-exclusive, royalty-free license to store, process, and display that content solely for the purpose of operating the platform and providing services to you. Compound.Work does not verify the accuracy or completeness of any uploaded documents and assumes no liability for errors in user-submitted content.

4. Data Privacy & Usage

4.1 Data We Collect

• Account information: name, work email, company name
• Project data: uploaded plans, bids, specifications, and documents
• Usage data: activity logs, feature interactions, and session data
• Technical data: IP address, browser type, device information

4.2 How We Use Your Data

• To operate and improve platform functionality
• To enable collaboration between users on shared projects
• To generate usage analytics and system performance insights
• To communicate account updates, billing notices, and platform announcements

4.3 Data Sharing

Your data is shared with other project participants only as directed by you or your company administrator. We may share data with trusted third-party service providers (such as hosting, analytics, and payment processors) who operate under confidentiality obligations. We do not sell your personal data to third parties without your explicit consent.

4.4 Aggregated & Anonymized Data

Compound.Work may use anonymized and aggregated data — data that cannot reasonably be used to identify you — for benchmarking, analytics, and product improvement purposes.

5. Subcontractor Access & Permissions

Document access is controlled by the project owner, typically the General Contractor or company administrator. Subcontractors and other invited users may only view documents explicitly shared with them. Compound.Work is not responsible for unauthorized sharing or disclosure of documents by users within your organization.

6. Bid Submission & Marketplace Disclaimer

Compound.Work enables bid invitations, submissions, and comparison workflows. The platform does not guarantee project awards, validate pricing accuracy, or endorse any bid or contractor. Compound.Work is not a party to any agreements, contracts, or commitments made between users and assumes no liability for disputes arising from bid outcomes.

7. Third-Party Integrations

Compound.Work may integrate with or link to external third-party services such as accounting platforms, payment processors, and APIs. Compound.Work is not responsible for the performance, availability, privacy practices, or data handling of any third-party services.

8. Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect your data against unauthorized access, disclosure, alteration, and destruction. However, no internet-based system is completely secure. By using Compound.Work, you acknowledge the inherent risk of unauthorized access, data breaches, or other security events, and agree that Compound.Work shall not be liable for any resulting damages beyond what is legally required.

9. Data Retention & Deletion

We retain your data for as long as your account is active or as necessary to provide services and comply with legal obligations. You may request deletion of your personal data by contacting us. Compound.Work may retain certain records after deletion where required for legal, regulatory, or operational compliance purposes.

10. Payments & Fees

Compound.Work may charge subscription fees, seat-based fees, or transaction fees for access to certain features or tiers. All fees are stated at the time of purchase. Unless otherwise stated in writing, all payments are non-refundable. We reserve the right to modify pricing with advance notice to active subscribers.

11. Limitation of Liability

The platform is provided "as is" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Compound.Work is not liable for lost profits, project delays, construction defects, missed bid opportunities, or any indirect, incidental, or consequential damages arising from your use of the platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless Compound.Work and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising out of your use of the platform, your uploaded content, or any disputes between you and other users.

13. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in a court of competent jurisdiction in California if arbitration is not available.

14. Updates to Terms

Compound.Work may update these Terms of Service and Privacy Policy at any time. We will provide notice of material changes via email or a prominent in-app notification. Your continued use of the platform after changes take effect constitutes acceptance of the updated terms.

15. Additional Protections

No Reliance

You acknowledge that you are not relying on Compound.Work for professional, construction, engineering, legal, or financial advice. Any data, estimates, or outputs generated by the platform are tools to support your own professional judgment and do not constitute a professional recommendation.

Data Processing Rights

You grant Compound.Work the right to process, structure, index, and organize your uploaded data solely to operate and improve the platform services you have subscribed to.

Network Participation

You acknowledge that certain platform features depend on collaboration and interaction between users, and that Compound.Work cannot guarantee consistent functionality if users in your network are inactive or have restricted access.
